ABOUT DATOMS :
DATOMS is an Industrial IoT and Asset Intelligence company helping enterprises monitor,
manage and optimise critical infrastructure across energy, healthcare, logistics, industrial and
other asset-intensive environments.
As we continue to grow, we are looking for a Company Secretary to join our Bhubaneswar
team and support our corporate secretarial, statutory compliance and corporate documentation
requirements.
The Role :
The Company Secretary will be responsible for maintaining DATOMS' corporate compliance
processes and ensuring that statutory and secretarial activities are tracked and completed on
time.
The role will work closely with the Manager - Accounting & Compliance, Chief of Staff, Founder
and external CS/CA advisors.
Key Responsibilities :
● Maintain the company's corporate compliance calendar and track statutory deadlines
and filings.
● Coordinate with external CS/CA firms to ensure timely completion of compliances and
filings.
● Maintain statutory registers, minutes, resolutions and other corporate records.
● Coordinate Board, EGM and AGM documentation, notices, minutes and related filings.
● Coordinate documentation, signatures and filings for corporate actions and statutory
requirements.
● Support preferential allotments, rights issues, ESOPs, securities issuances and other
corporate actions.
● Coordinate FEMA/FDI and RBI-related documentation and filings with external advisors.
● Maintain an organised repository of corporate and statutory documentation.
● Coordinate with internal and external stakeholders to ensure timely closure of
compliance and documentation requirements.
● Support the leadership team on day-to-day corporate secretarial matters.
● Support basic ESG and Investor Relations activities, including reporting and
documentation.
● Support basic compliance reporting such as labour law, POSH and other applicable
statutory requirements.
Required Qualifications & Experience :
● Qualified Company Secretary (ACS/FCS).
● 2-4 years of relevant post-qualification experience.
● Experience working with a private limited company; experience in a startup or
technology company is preferred.
● Strong working knowledge of the Companies Act, MCA/ROC compliances and
Secretarial Standards.
● Practical experience with Board/shareholder meetings, statutory filings and corporate
records.
● Experience with or exposure to:
○ Preferential allotments
○ Rights issues
○ ESOPs
○ CCPS/equity issuances
○ FEMA/FDI compliances
○ RBI reporting
○ ROC filings
