We are looking for a Qualified Company Secretary to lead our Secretarial & Legal Compliance function and play a key role in building a high-quality, scalable corporate compliance and advisory practice.

The role combines technical advisory, team leadership, client management, transaction execution, quality control, and process building.
𝗞𝗲𝘆 𝗥𝗲𝘀𝗽𝗼𝗻𝘀𝗶𝗯𝗶𝗹𝗶𝘁𝗶𝗲𝘀
• Lead and manage a 25+ member pan-India Secretarial & Legal Compliance team, with direct oversight of the Delhi NCR function
• Own end-to-end client delivery, quality, timelines, escalations and customer experience
• Act as a senior technical advisor on:
• Companies Act, 2013 and Secretarial Standards
• Corporate governance and regulatory compliance
• FEMA, FDI and ODI matters
• Fundraising and transaction-related compliances
• ESOPs, CCPS, CCDs and cap-table matters
• Private placements, rights issues and preferential allotments
• Due diligence and corporate restructuring
• Board and shareholder matters
• Trademark and allied legal/regulatory matters
• IPO readiness and pre-listing compliance support
• Lead fundraising and corporate transactions, including private placements, debt issuances and associated regulatory filings
• Serve as a senior point of contact for founders, CFOs, investors and leadership teams
• Liaise with auditors, legal counsel, consultants and regulatory authorities
• Monitor regulatory changes and proactively advise clients on compliance risks and mitigation
• Build and strengthen SOPs, maker-checker mechanisms, review frameworks and quality controls
• Drive team training, capability development and performance management
• Identify opportunities for process improvement, standardisation, automation and scalable delivery
𝗪𝗵𝗼 𝗦𝗵𝗼𝘂𝗹𝗱 𝗔𝗽𝗽𝗹𝘆
• Qualified Company Secretary with valid ICSI membership
• Minimum 5–6 years of relevant experience
• Prior experience in a consultancy firm, PCS firm, law firm or professional services environment preferred
• Strong practical knowledge of Companies Act, FEMA and corporate governance
• Hands-on exposure to fundraising, startup transactions and regulatory filings
• Experience leading teams and managing multiple client engagements
• Strong client-facing, stakeholder-management and communication skills
• Analytical, solution-oriented and comfortable handling complex regulatory matters
• Familiarity with the startup ecosystem and fast-changing regulatory environment
• Proficiency with MS Office and corporate compliance/governance tools
