Role Description
The Company Secretary will play a strategic leadership role in ensuring effective corporate governance, statutory compliance, and secretarial administration in line with the Companies Act, SEBI (LODR) Regulations, and other applicable laws. The role involves close interaction with the Board, Senior Management, Regulatory Authorities, and Key Stakeholders to uphold transparency, compliance, and governance standards.
Key Responsibilities:
1. 1. Statutory & Regulatory Compliance
· Ensure compliance with the Companies Act, SEBI (LODR) Regulations, FEMA, and all applicable corporate laws.
· Maintain statutory registers, records, and filings with MCA, SEBI, ROC, and Stock Exchanges.
· Coordinate timely filing of annual returns, financial statements, and other statutory forms.
· Liaise with regulatory authorities such as SEBI, BSE/NSE, ROC, and NSDL/CDSL.
1. 2. Board & Committee Support
· Convene, coordinate, and document Board Meetings, Committee Meetings, and Annual General Meetings (AGM).
· Prepare Board agendas, notes, minutes, and resolutions ensuring regulatory compliance.
· Advise the Board and management on governance best practices and regulatory implications.
· Ensure smooth conduct of AGM, EGM, and postal ballot processes.
1. 3. Corporate Governance
· Act as custodian of corporate governance framework, policies, and charters.
· Facilitate Board evaluations, disclosures, and independence declarations.
· Implement and monitor internal control and compliance mechanisms.
1. 4. Legal & Contractual Oversight
· Review, draft, and vet legal agreements, MoUs, and business contracts.
· Provide guidance on M&A, joint ventures, shareholding patterns, and capital structure changes.
· Support legal risk management and litigation follow-ups in coordination with external counsel.
1. 5. Investor Relations & Stakeholder Communication
· Handle investor queries, shareholder communication, and grievance redressal through RTA.
· Coordinate dividend declarations, transfers, dematerialization, and related activities.
· Ensure timely and accurate disclosures to Stock Exchanges and stakeholders.
1. 6. Strategic Advisory Role
· Advise senior leadership and Board on changes in corporate laws, SEBI regulations, and governance trends.
· Support corporate restructuring, fund-raising, or policy amendments from a compliance standpoint.
· Ensure alignment between business objectives and regulatory expectations.
Qualifications:
Education:
· Member of the Institute of Company Secretaries of India (ICSI) – Mandatory
· LL.B or additional qualification in Corporate Law preferred
Experience:
· 3 to 8 years of post-qualification experience, with at least 2 years in a listed entity
· Proven experience in managing SEBI/LODR compliance, Board governance, and investor relations
