Job Responsibilities:
Corporate & Board Compliance
• Manage Board and shareholder meetings — notices, agendas, and minutes
• Maintain all statutory registers and file annual returns, financial statements, and director forms with the Registrar of Companies
• Handle any changes to shareholding, company charter, or share capital structure
• Conduct secretarial audits and prepare the annual secretarial audit report
IPO & Pre-Listing Work
• Assist in preparing the Draft Red Herring Prospectus (DRHP) — the main document submitted to SEBI before a company‘s IPO
• Handle all correspondence with SEBI during the IPO review process
• Manage pre-IPO restructuring — new share issuances, employee stock options (ESOPs), and changes to the shareholding pattern
• Coordinate with investment bankers, lawyers, auditors, and depositories throughout the listing process
Post-Listing Compliance
• Ensure timely quarterly and annual disclosures to the stock exchange as required after listing
• Manage related party transaction approvals and maintain proper documentation
• Implement and monitor the company‘s Insider Trading Policy — including trading window management and employee awareness
• Handle investor grievances and shareholder communications within SEBI-prescribed timelines
• Coordinate with the share transfer agent for shareholder records, dividend processing, and demat reconciliation
Legal & Contracts
• Review and manage key business contracts and investor agreements in coordination with lawyers
• Maintain the company‘s document repository for investor and banker due diligence
• Track regulatory changes and update internal compliance processes accordingly
Preference will be given to candidates who have hands-on experience working with a company at both the IPO stage and post-listing compliance — including SEBI correspondence, stock exchange filings, and investor communication after the company lists.
