Job Purpose
The role involves overall leadership of the Legal Department, providing strategic direction, legal guidance, and oversight on all corporate, regulatory, and litigation matters to ensure compliance and safeguard organizational interests.
Key Responsibilities
1. Non-Litigation
Draft, vet, and review contracts, MoUs, and other legal documents for internal departments and group companies.
Ensure compliance with applicable laws, policies, and regulatory guidelines.
Identify legal and contractual risks and propose mitigation strategies.
Draft and update exchange policies and procedural documents.
2. Litigation
Manage all litigation matters filed by or against the organization.
Liaise with external counsel, prepare briefs, and coordinate court submissions.
Develop strategies to mitigate potential litigation risks.
Draft and vet pleadings and related legal documents.
3. Advisory & Board Presentations
Advise the Governing Board and senior management on corporate, regulatory, and compliance issues.
Prepare and present legal agenda notes and documentation for Board and Committee meetings.
Represent the Legal Department in internal and external committees.
4. Legal Support for Business Expansion
Provide legal support for the launch and operations of new business segments (Equity and Derivatives).
Draft and vet agreements with vendors, service providers, and technology partners.
Review and finalize Share Purchase Agreements and other transaction-related documents.
Draft responses to regulatory queries and ensure compliance with closure requirements.
5. Rules, Bye-laws, and Regulatory Coordination
Review and update Exchange Rules, Bye-laws, and Regulations in line with legal and regulatory changes.
Liaise with statutory authorities and regulatory bodies for approvals and compliance.
Prepare legal MIS reports, status updates, and NOCs for management review.
Candidate Profile
Educational Qualification :
Post Graduate in Law (LL.M), preferably specializing in Securities Law.
Strong understanding of the Companies Act and related legislations.
Experience :
Min. 10-12 years of relevant experience in legal practice / Legal work or handling Litigation Matters in a Law firm of repute or in a Banking or NBFC or CPSU, Govt Departments etc. Handling all types of Litigation matters with sound interpreting and Drafting Skill. Working experience with Regulatory and Statutory Authorities.
Practicing advocate in matters of various central government departments, insurance, consumer law, arbitration, Financial Services & Banking and Commodities market (Spot and Futures), FMCG
Technical Skills :
Knowledge of Securities Laws & Corporate Laws
Ability to network within the legal community
Legal writing skills
Versed with the procedures of Civil and Criminal Court
Working Knowledge of key financial Sector laws and other related laws which has a bearing on Exchange Business.
