Company Secretary

We are looking for Company Secretary (CS) at Ecosystem Ventures (https : / / ecosystemventures.in / )

Note : Only candidates who have completed their degree (CS & LLB) and have relevant work experience should apply. Applicants who are currently pursuing their degree or without experience will not be considered.

Lawyers / Advocates are not eligible for this role

Experience : 2 to 5 years

Location : Indore (Work from office)

Responsibilities :

• Review various statutory requirements of companies and provide inputs to ensure 100% compliance with various laws (e.g. Company's Act).
• Conducting legal and compliance due diligence for startups and other firms.
• Managing corporate action (e.g. issuance of equity, CCPS, OCD etc.) and preparing all the documentation required for such events.
• Drafting and reviewing legally-binding agreements like commercial contracts, shareholders agreement, NDAs etc.
• Draft, review, and negotiate a wide range of legal documents for startup investments, VC funding rounds, and M&A transactions, including Term Sheets, Share Subscription Agreements, Shareholder Agreements, Due Diligence reports, Non-Disclosure Agreements, Escrow Agreements, Business Transfer Agreements etc.
• Assist in the drafting and review of Private Placement Memorandums (PPMs) and other fund-related documentation.
• Manage regulatory reporting and filings specific to the Alternative Investment Fund.
• Coordinating with investors with respect to their shareholding in various startups.
