Key Responsibilities
1. Contract Management - Lease Deeds (BD Agreements) : - Draft, review, and negotiate lease deeds for business development (BD) and new site acquisition. Conduct due diligence for new site BD agreements. Support closure of lease documentation within defined internal timelines.
2. Contract Management - Commercial and Vendor Agreements : - Draft, review, and finalize : Non-Disclosure Agreements (NDA), Master Services Agreements (MSA), Master Purchase Agreements (MPA), Supplier Agreements, Vendor Agreements, Consultancy Agreements, Marketing / Influencer Agreements, Technology Service Agreements, Franchise / Distribution Agreements (as applicable)
Maintain an updated contract database with version control and expiry monitoring. Coordinate with internal teams to streamline contract execution and approvals.
3.Compliance Management (Companies Act, 2013 and Other Applicable Laws) : Managing secretarial compliance and governance under the Companies Act. Ensure timely statutory filings and adherence to a No-Penalty Model. Create and maintain a repository of all statutory filings, compliance certificates, and event-based actions (e.g., appointments, share allotments, resolutions). Coordinate board and committee meeting support documentation.
4. Investor Management : Liaise with investors for queries and documentation. Ensure transparency and accuracy in investor-related legal documents and disclosures.
5. Policy Management : Create and maintain a library of internal governance and legal policies including (but not limited to) : POSH Policy (Prevention of Sexual Harassment), Code of Conduct, Whistle-blower Policy, Insider Trading Policy, Compensation Committee Charter, Related Party Transaction Policy and Data Protection and Information Security Policy. Support project-based rollout of new policies and training programs. Maintain internal policies under FSSAI Act, 2006, Consumer Protection Act, Labour Laws (Shops and Establishments Act, Minimum Wages Act), Legal Metrology Act and Environment Protection Act (if applicable to packaging or disposal)
6. Litigation Management (Court-Related Matters) : - Regulatory Management (Non-Litigation Matters)Assist in preparation of case summaries for management. Support evidence collation, affidavit preparation, and court filings coordination. Coordinate with external counsels on litigation cases - civil, criminal, consumer, labour and IPR. Maintain a central litigation tracker and legal calendar. Create and update litigation strategy documents and case storyboards. Assist in preparation of case summaries for management. 7. Regulatory Management (Non-Litigation Matters) : Maintain records of regulatory communications, notices, and ongoing matters. Build a repository of filings, approvals, and correspondence with regulators. Monitor compliance with regulatory frameworks applicable to FMCG including FSSAI Act and Regulations, Legal Metrology Rules, Environmental Compliance (Plastic Waste Rules, EPR), Consumer Protection Act, BIS Standards (for applicable SKUs), Packaging and Labelling Rules and Labour laws for retail / FMCG operations.
8. Trademark Management (Non-Litigation Matters) : Maintain a database of all trademarks filed, registered, or under objection. Track deadlines for renewals, oppositions, and reply filings.
Track IPR infringement matters and coordinate with IP attorneys.
