Job Profile
We are looking for a qualified and experienced Company Secretary (CS) to lead our corporate governance, compliance, and secretarial functions. The ideal candidate will ensure smooth coordination between management, regulatory authorities, and stakeholders, with a strong understanding of company law, excise compliance, and corporate documentation in the liquor industry. This role requires a detail-oriented professional with excellent organizational, communication, and compliance management skills.
Key Responsibilities
Ensure statutory compliance under the Companies Act, 2013 and other applicable corporate laws.
Manage board meetings, AGMs, and committee meetings, including preparation of notices, agendas, minutes, and resolutions.
Handle ROC filings, annual returns, and statutory registers.
Coordinate with Excise, Customs, and other government departments for licenses, renewals, and regulatory reporting.
Assist in drafting and vetting contracts, MOUs, and legal documentation.
Advise management on corporate structure, mergers, acquisitions, and compliance strategy.
Maintain liaison with auditors, legal advisors, and consultants.
Support internal audits, due diligence, and ensure adherence to internal governance policies.
Ensure timely compliance with SEBI, FEMA, and other statutory bodies (if applicable).
Prepare and submit MIS reports and compliance dashboards to management.
Skills and Qualifications
Qualified Company Secretary (ICSI Member).
5–12 years of post-qualification experience in manufacturing, liquor, or FMCG industries.
In-depth knowledge of Companies Act, FEMA, Excise regulations, and statutory compliance frameworks.
Strong communication, drafting, and coordination skills.
Experience in liaisoning with government departments preferred.
Ability to work independently and manage multiple stakeholders.
