The/Nudge Institute - Associate Director - Finance - Impact Investing

Role Overview

We are seeking a finance head to own the financial, legal, and regulatory operations of our impact-first investment fund. Working closely with the Partners, this role is responsible for fund compliance, investor servicing, deal execution support, and coordination across Indian and offshore structures.

This is a high-ownership role with end-to-end exposure across fund operations, compliance, and investments.

What Will You Do

• Own all SEBI and statutory filings, including periodic, event-based, and annual reports
• Ensure alignment between Indian and US structures; manage PPM updates to SEBI
• Lead investor onboarding: contribution agreements, side letters, and KYC
• Manage capital calls, financial statements, portfolio reporting, and material disclosures
• Support valuation exercises for new deals, including cash flow forecasting.
• Lead deal execution, including term sheets, investment agreements, and valuations
• Own fund accounting, audited financials, compliance test reports, and valuation methodology
• Coordinate and manage meetings and documentation for the Investment Committee, Board, and
  
  

Advisory Committee.

• Own all fund policies (conflicts, risk, stewardship, code of conduct)
• Manage investor grievance redressal and regulatory record keeping
• Coordinate offshore pooling vehicle compliance, LP support, and timely K-1 generation
• Manage all external service providers: custodian, auditor, legal counsel, tax advisor, etc
  
  

Who Are We Looking For In This Role

• CA / MBA (Finance) or equivalent
• 10+ years of experience in fund operations, AIFs, audit, or investment management
• Strong understanding of SEBI AIF regulations; offshore exposure preferred
• High attention to detail, strong ownership, and stakeholder management skills
