Company Vision
Targeting 3 GW of Solar and 5 GWh of Battery Energy Storage (BESS) over the next three years. Building a secure, scalable IT backbone to protect confidential contracts, operational data, and business-critical systems across corporate and project sites.
Position Overview
Responsible for corporate governance and compliance. Key duties include :
Adherence to corporate laws and secretarial standards
SPV incorporation and statutory filings
Board and management support
Experience in M&A, IPOs, InVITs, REITs preferred
Handling cross-border subsidiaries and fund-raising

Key Responsibilities
1. Governance & Board Support
Conduct Board, AGM, EGM, and Committee Meetings
Draft agendas, resolutions, minutes, and maintain registers
Advise Board on governance and compliance
2. Statutory & Regulatory Compliance
Ensure compliance with Companies Act, FEMA, SEBI, etc.
File statutory forms with MCA, ROC, CERSAI
Maintain records across Parent, HoldCo, and SPVs
3. SPV & Group Structure Management
Incorporate / manage SPVs with PAN, TAN, GST
Monitor shareholding structures
Ensure compliance across listed / unlisted entities
4. Cross-Border & International Compliance
Handle compliance for subsidiaries in US, Europe, MEA, APAC
Support FEMA / FERA, SEBI, RBI filings
Liaise with global consultants and regulators
5. Fund-Raising & Capital Market Transactions
Support QIP, Bonds, IPOs, Rights Issues, etc.
Coordinate with bankers, auditors, legal advisors
Oversee SEBI and listing compliance
6. ESOP & Employee Benefit Schemes
Design / administer ESOPs
Ensure regulatory and board alignment
7. M&A & Strategic Transactions
Support M&A, JVs, restructuring
Draft / review SPAs, SHAs
Conduct due diligence and post-deal compliance
8. Corporate Policies & IPR
Oversee POSH, ESG, EPR compliance
Manage trademarks and patents
9. IPO / Listing Preparedness
Develop listing-ready governance frameworks
Coordinate disclosures and filings
Liaise with SEBI, bankers, auditors
Qualifications & Skills
Qualified CS (FCS / ACS); LLB preferred
12–18 years’ experience in RE / Power / Infra sectors
Expertise in SPVs, international subsidiaries, IPOs
Familiarity with ESOPs, POSH, IPR
Strong governance, drafting, and communication skills
