Job description

Job Title : Corporate Associate

Department : Corporate Law / Securities Law

Location : Delhi

Experience : 1–3 years

Reporting to : Founder and Principal Counsel

Role Overview :

The role offers significant learning and growth opportunities through hands-

on exposure to regulatory work, commercial contracts, and capital markets

advisory.

Key Responsibilities :

  • Assist in advising clients on regulatory matters under SEBI regulations,

including ICDR, LODR, Takeover Code, Insider Trading, and Mutual Fund

Regulations.

  • Support in drafting and reviewing corporate contracts such as shareholders’
  • agreements, NDAs, service agreements, and vendor contracts.

  • Provide research support and documentation for setting up mutual funds,
  • AIFs, and assisting investment managers with compliance.

  • Conduct preliminary legal due diligence in M&A and fund structuring matters
  • under guidance.

  • Coordinate with regulatory authorities such as SEBI and RBI for filings,
  • clarifications, and responses.

  • Stay updated with changes in laws affecting capital markets, securities, and
  • company regulations.

  • Draft internal legal notes, compliance checklists, and opinion briefs under
  • supervision.

  • Assist the senior team in maintaining client communication and tracking
  • deliverables.

    Key Skills & Competencies :

  • Basic understanding of SEBI laws, Companies Act, and mutual fund
  • regulations.

  • Strong research, writing, and documentation skills.
  • Willingness to learn and adapt in a fast-paced regulatory environment.
  • Strong attention to detail and a proactive approach to work.
  • Effective communication skills for internal coordination and external client
  • handling.

  • Ability to multitask and work under supervision with tight timelines.
  • Qualifications :

  • LL.B. from a reputed law school / university.
  • Company Secretary (CS) qualification is an added advantage but not
  • mandatory.

  • 1–3 years of relevant experience in a law firm or in-house corporate legal
  • team.

    Preferred Experience (Not Mandatory) :

  • Exposure to SEBI filings, IPO documentation, or rights issues.
  • Experience working with mutual funds, AMCs, or trustees.
  • Involvement in corporate advisory, due diligence, or compliance
  • documentation.
