Key Indicative Responsibilities :
1. Compliance and Governance :
Ø Ensure the company adheres to legal, regulatory, and governance requirements under the Companies Act, SEBI regulations, and other statutory frameworks relevant to the EPC industry and listed companies.
Ø Act as the key liaison between the company, its board of directors, and shareholders.
Ø Ensure timely filings with the Registrar of Companies (ROC) and other statutory bodies, such as stock exchanges and SEBI (in case of IPO or listing).
2. IPO Process Management :
Ø Lead the compliance and documentation process related to the IPO, ensuring all necessary filings are made with regulatory bodies such as SEBI, the stock exchanges, and the Registrar of Companies.
Ø Coordinate with investment bankers, legal advisors, auditors, and other stakeholders during the IPO process.
Ø Ensure the preparation of necessary documents, such as the Draft Red Herring Prospectus (DRHP), Prospectus, and other disclosures.
Ø Monitor the implementation of corporate governance standards as required for a listed entity.
3. Board Meetings and Shareholder Communication :
Ø Organize and attend board meetings, ensuring that minutes and resolutions are accurately recorded and signed.
Ø Advise the board on corporate governance issues and statutory matters.
Ø Prepare and issue notices for shareholder meetings (AGM, EGMs), managing voting procedures and other formalities.
Ø Ensure effective communication with shareholders regarding corporate performance, financial reporting, and governance matters.
4. Regulatory Filings and Reporting :
Ø Manage the process for quarterly, half-yearly, and annual financial statements, ensuring compliance with stock exchange listing regulations.
Ø Prepare and file all statutory returns and documents related to the company's activities, including annual reports, financial disclosures, and compliance certificates.
Ø Ensure adherence to provisions related to insider trading, material events disclosure, related party transactions, etc.
5. Legal and Corporate Affairs :
Ø Oversee legal and contractual obligations related to projects, subcontracts, joint ventures, etc.
Ø Draft, review, and negotiate agreements related to the company's operations and strategic initiatives.
Ø Handle any legal disputes and coordinate with external legal counsel.
Ø Manage risk and ensure compliance with corporate and environmental regulations relevant to the EPC sector.
6. Corporate Structuring and Mergers / Acquisitions :
Ø Assist in corporate structuring, mergers, acquisitions, joint ventures, and restructuring activities, ensuring all legal formalities are in place.
Ø Manage post-merger integration and ensure compliance with applicable laws.
7. Record Maintenance :
Ø Maintain statutory registers and records (shareholder, director, etc.).
Ø Keep track of important corporate documents and ensure their safekeeping.
8. Advisory Role :
Ø Advise the board of directors on best practices for corporate governance and business conduct.
Ø Provide counsel on the implementation of policies regarding ethics, anti-corruption, and other relevant business regulations.
Ø Qualified Company Secretary (ACS or FCS) from the Institute of Company Secretaries of India (ICSI) or equivalent.
Ø A degree in Law, Business Administration, or Finance is preferable.
Ø Additional qualifications in corporate governance or compliance are an advantage.
Ø Minimum of 10-15 years of experience in a similar role, preferably in an EPC company
Ø Extensive experience in handling IPO processes, public offerings, and compliance for listed companies.
Ø Expertise in regulatory filings, corporate governance, and managing shareholder relationships.
Ø Strong knowledge of securities laws, stock exchange regulations, and financial reporting for listed companies.
Ø Strong communication and interpersonal skills.
Ø Ability to manage multiple stakeholders, including investors, regulators, and legal teams.
Ø Analytical skills for interpreting financial reports and governance policies.
Ø Good understanding of EPC contracts and legal frameworks.
Ø Comprehensive knowledge of the Companies Act, 2013, SEBI regulations, and other relevant laws in the context of public offerings and listed companies.
Ø Awareness of corporate finance, mergers, and acquisitions, and financial instruments.
