Job Title : Senior Legal Counsel / Principal Legal Counsel - General Corporate Law

Location : Mumbai

What will you do :

Primary Responsibilities

Transactional Support : Assist with due diligence, preparation and review of transaction documents, counterparty negotiation and CP completion, closing-post closing activities in relation to M&A and financing transactions entered into by the AOL group from time to time and assist with any intra group reorganizations that the AOL group me undertake from time to time. The expectation is that the candidate can front end such transactions, along with support from external counsel, as may be required from time to time.

General Corporate Advisory : Provide end to end support on general corporate matters, including in relation to the Companies Act, SEBI Regulations, and other applicable corporate laws. Advice on group structuring, inter-company transactions, capital infusions and corporate governance across group companies. Conduct legal research and stay updated on changes in corporate laws and regulations, assisting in the development and implementation of legal policies and procedures. Work on intellectual property and data protection law projects.

Product Advisory : Provide proactive legal support during the conceptualization, structuring and rollout of new financial products and services across regulated sectors that the Angel Group is involved in. Review and advise on product design, client onboarding flows and customer documentation to ensure compliance with applicable laws including sectoral laws. Partner and collaborate with product, compliance, information security and business teams to assess legal risks and develop risk mitigation strategies for new offerings and where required, also undertake a deep dive review of existing offerings. Advice on client facing policies, terms and conditions, disclaimers, and consent mechanisms, including digital contracting frameworks.

Contracts : Draft, review, and negotiate a variety of contracts, including commercial agreements, vendor agreements, service agreements and licensing agreements, fund documents, regulatory licenses, lending documents, structured finance documents and brokerage reports. Structure contracts to balance business objectives, regulatory compliance and risk mitigation across the regulated business wings housed in the AOL group. Assist with templatization and standardisation of contracts at an org wide level.

Cross Functional Collaboration : Collaborate with cross-functional teams, including finance, human resources, information security, product, technology, data, business, sales, marketing, and operations teams to ensure legal compliance and provide guidance on legal matters.

Who are you :

LLB from an accredited institution.

Admitted to practice law in India.

5+ years of experience in transactional work and general corporate law, preferably in a law firm or corporate legal department.

Strong knowledge of corporate law, contracts, and legal principles.

Excellent analytical, research, and problem-solving skills.

Strong written and verbal communication skills.

Ability to work independently and as part of a team.

Detail-oriented with good organizational and time management skills.

Ability to handle multiple tasks and prioritize work effectively.

Strong interpersonal skills and the ability to build relationships with clients and colleagues.
