Senior Corporate Commercial Lawyer (Remote)
Role Overview Fully remote Senior Corporate Commercial Lawyer role supporting Australian high-growth, startup, and SME clients . This position requires strong Australian corporate law expertise, the ability to run matters independently , and comfort working in a lean, tech-enabled legal environment .
Experience working with US / UK clients , international contracts, and cross-border matters is highly preferred.
Key Responsibilities Provide legal advice on corporate, commercial, and transactional matters
Handle capital raising , SAFE notes , convertible notes , shareholder agreements , ESOPs , and corporate governance
Draft, review, and negotiate commercial contracts , technology agreements , services agreements , and strategic partnerships
Support M&A transactions , due diligence , corporate restructures , and joint ventures
Ensure compliance with Australian corporate law , Corporations Act 2001 (Cth) , and regulatory requirements
Manage matters end-to-end , taking full ownership and driving timelines
Communicate proactively with clients and internal teams, providing clear legal analysis
Identify process improvements , efficiencies, and best practices
Work within a remote-first , high-performance legal environment using modern tools
Requirements Essential : 5+ years PQE in corporate commercial law
Strong expertise in Australian corporate law , corporations law, and commercial contracting
Experience with capital raising , convertible instruments , venture documentation , ESOP structuring , and shareholder documentation
Ability to run matters independently with minimal supervision
Excellent written and verbal communication with a client-focused mindset
Strong commercial judgment and ability to assess legal risk vs ROI
Tech-savvy; comfortable with Slack, Google Workspace, Microsoft 365, Notion , and legal tech tools
Reliable high-speed internet
Experience working with US / UK clients and international stakeholders
Ability to work UK business hours
Nice to Have : Experience running your own law practice or working independently
Background in top-tier or well-regarded Australian / US / UK firms
Experience with startups , scale-ups , or venture capital
Knowledge of startup financing , VC structures , and innovation ecosystems
