Job Summary :
The Company Secretary & Compliance Officer will be responsible for ensuring that the company complies with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented. The role demands expertise in corporate governance, legal compliance, secretarial duties, and liaison with regulatory bodies.
Key Responsibilities :
Statutory & Legal Compliance :
- Ensure compliance with Companies Act, SEBI regulations, and other applicable laws.
- Maintain statutory records as per the Companies Act.
- Ensure timely filings of ROC returns, forms, and resolutions.
- Coordinate and ensure compliance related to company policies and business laws.
Board & Shareholder Meetings :
Organize and attend Board Meetings, Annual General Meetings (AGMs), and Committee Meetings.Draft agendas, minutes, resolutions, and other official documentation.Advise directors on their legal and corporate responsibilities.Corporate Governance :
Ensure strong corporate governance practices.Draft and update the company's corporate governance policies.Support the board and its committees in governance matters.SEBI & Stock Exchange Compliance (for listed companies) :
Handle SEBI (LODR) and stock exchange filings.Monitor insider trading compliance, maintain insider trading window declarations.Coordinate with Registrar and Share Transfer Agents (RTA).Liaison & Coordination :
Liaise with government bodies such as MCA, ROC, SEBI, RBI, and stock exchanges.Act as a point of contact between the board of directors and external stakeholders.Secretarial Audits & Certifications :
Assist in conducting secretarial audits.Ensure certifications and reports from practicing company secretaries are in order.Other Responsibilities :
Draft and vet legal agreements, MoUs, NDAs, and contracts.Manage intellectual property filings (trademarks, patents) if required.Support mergers, acquisitions, and restructuring activities from a compliance perspective.Qualifications & Experience :
Qualified Company Secretary (CS) from ICSI.Additional degree in Law (LLB) is preferred.6-8 years of relevant experience, preferably in a manufacturing & listed company.Skills Required :
Strong knowledge of corporate laws and regulations.Excellent drafting, communication, and interpersonal skills.Detail-oriented with strong organizational abilities.Ability to handle confidential information with integrity.Proficient in MCA portal, SEBI portal, and MS OfficeCompliance responsibilities :
Monitor and ensure compliance with SEBI (LODR), insider trading regulations, and other applicable laws.Ensure timely disclosures to stock exchanges and regulatory bodies.Maintain the Insider Trading Code, manage trading window closures, and maintain insider data.Ensure compliance with RBI, FEMA, and other applicable regulations & any other responsibilities assigned depending on company operations.Skills Required
