About the Role :
We are looking to hire a seasoned legal professional to join our legal team as Senior Legal Counsel, with a core focus on Mergers & Acquisitions (M&A) and Infrastructure Project Contracting. The role demands strong experience in managing complex transactions across sectors such as power, oil & gas, defense, urban infrastructure, and general corporate.
The ideal candidate will have a proven track record of handling end-to-end M&A transactions, drafting and negotiating investment and project agreements, and advising on regulatory compliance including FEMA.
Key Responsibilities :
- Lead and manage M&A transactions including legal due diligence, structuring, and compliance matters
- Draft, review, and negotiate investment agreements such as SPA, SSA, SHA, JV agreements, and ancillary documents
- Provide legal support on infrastructure and project contracting matters (EPC, O&M, PPA, infrastructure sharing and revenue-sharing agreements)
- Advise on FEMA compliance and relevant regulatory issues
- Support internal business teams with legal risk analysis and practical legal solutions
- Engage and coordinate with external counsel and regulatory authorities
Required Qualifications and Experience :
Law degree from a reputed universityMinimum 10 years of post-qualification experience (PQE), primarily in a Tier 1 law firmDemonstrated expertise in M&A transactions, investment agreements, and FEMA advisoryStrong experience in project-based legal drafting and negotiationsSectoral exposure in power, oil & gas, defense, urban infrastructure, and general corporate lawExcellent legal drafting, negotiation, and analytical skillsAbility to manage complex transactions independentlyPreferred (Not Mandatory) :
