Manager - CS

To assist the Company Secretary in ensuring timely compliance with all corporate governance, SEBI (LODR), Companies Act, and related statutory requirements applicable to a listed company, and to support Board, shareholder, and regulatory matters efficiently.

Key Responsibilities :

1. Secretarial & Compliance :

• Ensure end-to-end compliance under the Companies Act, 2013, SEBI (LODR) Regulations, 2015, SEBI (PIT) Regulations, and other applicable laws.
• Prepare and file ROC forms, annual returns, event-based filings, and maintain statutory registers.
• Assist in drafting and reviewing Board, Committee, and General Meeting notices, agendas, and minutes.
• Coordinate and ensure timely Board / Committee meeting compliances (Audit, Nomination, CSR, etc.).
• Handle stock exchange filings (NSE / BSE) — disclosure management, XBRL filings, SDD, and response to exchange queries.
• Support in the preparation of annual report, corporate governance report, shareholding patterns, and other SEBI-mandated disclosures.
