Transaction Legal Specialist

The Legal Manager – Transaction Advisory & Documentation will be responsible for providing legal support for corporate, SME, and retail banking transactions, ensuring legally robust documentation, risk mitigation, and regulatory compliance. The role involves advising business teams on deal structures, drafting and vetting transaction documents, managing legal negotiations with counterparties, and supporting end-to-end execution of secured and unsecured lending, treasury, and investment-related transactions.

Key Responsibilities

1. Transaction Advisory Support

• Provide legal advisory for credit, treasury, trade finance, structured finance, and investment banking transactions.
• Evaluate term sheets, deal structures, security packages, covenants, and conditions precedent to highlight legal risks and mitigation measures.
• Participate in transaction discussions with business teams, credit, risk, and external counsels.
• Support structuring of complex transactions to ensure compliance with regulatory frameworks (RBI guidelines, FEMA, SARFAESI, etc.).
