Position Summary
We are seeking a skilled and experienced Company Secretary and Legal Counsel to oversee the legal and corporate secretary function for ETS legal entities in India i.e. ETS Assessment Services Pvt Ltd and ETS India Private Limited. The ideal candidate should understand local legal and regulatory requirements.
Primary Responsibilities
- As the Company Secretary, ensure effective and timely completion of all corporate secretarial activities for ETS legal entities in India.
- Provide comprehensive and actionable general legal advice and support in India
- Respond to legal matters that arise in ETS operations in India and work closely with legal teams in HQ to provide seamless legal support to all business units in India.
- Support contract documentation in India including drafting contracts, agreements, letters, licenses, notices, renewals, terminations, etc., working closely with ETS entities in India.
- In the area of commercial and employment contracts, support and create standard templates and processes to scale ETS business and compliance needs in India.
- Actively contribute to legal transformation projects for the purpose of gaining efficiencies in the operation of the legal department.
- Conduct trainings as and when required with the aim of creating awareness and equipping employees in understating policies and regulatory requirements.
- Keep track of changes in laws applicable to ETS operations in India and preparing internal updates for the same.
- Adhere to ethical standards and comply with the laws and regulations applicable to your job function.
KNOWLEDGE / SKILLS
Must have experience in India Labour Laws & Policies, Have Attorney license, handled corporate compliance, Corporate legal matters, HR legal matters, drafted notices & must have experience in handling Industry Employment (Standing orders) related to Labour Laws in India.A minimum of 12 years of post-qualification work experience as a Company Secretary and Legal Officer in mid to large corporation in India.Demonstrated experience in handling Corporate Employment and other HR related legal matters besides general agreements, contracts, licenses, leases, etc.Has independently handled all corporate secretarial, legal and compliance matters as an Individual contributor.Outstanding analytical and communications (written and verbal) skills with attention to detail,Excellent problem-solving, advisory, negotiation and drafting skills.Experience working with legal teams in India and supporting global legal operations,Ability to work independently and within a collaborative team environment,Strong process management skills with the ability to multi-task and meet deadlines
