JOB DESCRIPTION

Role : Company Secretary & Legal Associate

Education : Company Secretary(final qualified) and Law graduate(Both are mandatory)

Experience - 1 to 5 years but should not more than that.

Job Location : Andheri, Mumbai

Job Type : Full Time & Permanent

Job Summary :

We are a well-established Chartered Accountant firm based in Andheri East, Mumbai, catering to a diverse clientele across various industries. Our services include audit & assurance, taxation, corporate compliance, advisory, and legal services. We are looking to onboard a dynamic professional to strengthen our corporate legal and secretarial practice.

Key Responsibilities :

1. Company Secretarial

1. Manage all ROC compliances under the Companies Act, 2013

2. Conduct and document board meetings, annual general meetings, and committee meetings

3. Handle incorporation of companies, LLPs, and closure formalities

4. Maintain statutory registers, filings, and documentation

5. Assist in preparation and filing of annual returns, director KYC, and other MCA forms

2. Legal Advisory and Drafting

1. Draft, review, and vet various legal agreements including shareholder agreements, vendor contracts,

lease deeds, NDAs, etc.

2. Provide legal opinions on corporate law matters, regulatory issues, and contractual obligations

3. Assist in legal due diligence and compliance audits

4. Liaise with regulatory bodies such as MCA, RBI, SEBI, etc., as required

Other Support :

 Coordinate with clients for ongoing assignments and documentation

 Stay updated with latest amendments in corporate and legal frameworks

 Work collaboratively with internal teams for integrated client solutions

Desired Candidate Profile :

 Company Secretary and LLB

 1–2 years of post-qualification experience in a CA firm, law firm, or corporate setup

 Sound knowledge of Companies Act, FEMA, Contract Act, and other relevant corporate laws

 Excellent drafting, communication, and interpersonal skills

 Proficiency in MS Office and legal research tools

 Ability to manage multiple assignments and work in a team environment
