Role Overview
ETG is executing a multi-year transformation to establish independent verticals and strengthen the balance sheet across its global portfolio, requiring complex carve-outs, reorganisations, and M&A transactions in multiple jurisdictions.
We are seeking a Senior Manager – Restructuring & M&A to lead the design and execution of these projects - from feasibility assessment and deal structuring through detailed planning, execution, and post-implementation stabilization — ensuring compliance, business continuity, and value creation
While operating without a permanent direct team, the role will collaborate with allocated cross-functional project teams drawn from corporate finance, tax, treasury, legal, and operations, as well as manage external advisors.
The ideal candidate will bring hands-on experience in both advisory and corporate implementation , with deep technical expertise in tax and / or financial structuring, complemented by strong commercial knowledge, IFRS, Balance Sheet restructuring, valuation skills, and the ability to navigate high-change, multi-country environments.
Key Responsibilities
- Transaction Structuring & Planning
- Lead the financial and tax structuring of carve-outs, spin-offs, reorganisations, and M&A transactions.
- Develop and assess deal structures , reviewing business plans, financial models, cash flow forecasts, and historical performance.
- Conduct and coordinate financial & tax due diligence ; challenge and validate key assumptions.
- Provide structuring options considering international tax, IFRS, and commercial implications.
- Drive business valuations and option analysis (e.g., liquidation, restructuring, sale).
- Prepare reorganisation plans with clear steps, standalone country models, and Day-1 readiness deliverables.
- Implementation & Execution Leadership
- Project manage end-to-end execution across finance, tax, legal, treasury, HR, IT, and operations.
- Oversee entity formation, intercompany arrangements, banking, payroll, and statutory compliance.
- Manage advisor deliverables, agreement execution, and exit strategies to ensure smooth handover.
- Maintain robust project governance, risk management, and escalation protocols.
- Stakeholder Management & Change Leadership
- Act as single point of contact for finance between internal teams, external advisors, and counterparties.
- Engage with senior leadership and Board; translate technical financial issues into strategic implications.
- Provide financial and tax inputs for agreements and carve-out documents.
- Coach and guide in-house finance teams on new processes and structures.
Qualifications & Experience
10–15 years’ experience in corporate restructuring, carve-outs, business separations, or M&A execution within large, complex, multi-jurisdictional organisations, including minimum 5 years leading cross-border carve-out or reorganisation projects.Deep expertise, with at least 5 years’ experience, in either International / M&A Tax or Financial Structuring (both preferred), with strong working knowledge of the other.Proven capability in tax structuring, financial modelling, valuations, due diligence, and separation accounting .Track record with Big 4 or top-tier consulting firms and / or corporate M&A teams , with hands-on delivery of implementation and balance sheet restructurings .Strong understanding of IFRS and multi-jurisdictional tax regulations .Demonstrated success in both advisory and in-house implementation roles.Exceptional stakeholder management and negotiation skills.Professional qualification : Chartered Accountant, CPA, ACCA or MBA FinanceKey Competencies
