Handle full range of company secretarial matters and ensure compliance with all statutory and regulatory filing requirements for the Group’s companies in India and other jurisdictions in an effective and efficient manner
Organize and coordinate meetings for the board of directors in adhering to best-in-class corporate governance, including arranging logistics and providing training for directors as appropriate
Prepare all company secretarial documentation, such as meeting agendas, minutes, board resolutions, and delegated authorities with support from external consultants, as appropriate
Work closely with external advisors, other functional units and headquarter corporate secretary team on compliance matters and corporate exercises
Maintain the legal entity database and serve as the primary contact for the relevant regions regarding corporate information updates or internal reporting
Monitor changes in relevant Companies Acts, rules, regulations and corporate governance standard and when required, advise members of the legal, governance, accounting and tax departments of the related implications
Offer practical advice / assistance on ad-hoc projects and tasks as assigned from time to time
Develop, deliver and present trainings
Position Requirements :
Degree holder and Qualified Company Secretary of the Institute of Company Secretaries of India (ICSI)
Minimum 8 years’ relevant company secretarial and entity management experience preferably in sizeable MNCs
Professional knowledge in company secretarial practice and sound knowledge in the Companies Acts and other compliance regulations
Proactive, detail-oriented and able to prioritize and work independently under pressure
Excellent interpersonal and communication skills in English and ability to work well with people at all levels
Team player with a collaborative approach
Strong MS Office skills, along with the ability and willingness to learn and use specialist tools and applications; knowledge of entities management software an advantage
