Job descriptionLL.B. / LL.M (preferred) from premier law school. Minimum of 2 to 4 years post qualification experience handling buy customer contracts ( preferred under IT Services ) Flexible, well-organized and the ability to work in a fast-paced internet and technology driven environment. Ability and desire to work independently and with little oversight is a must. Excellent written and verbal communication skills. Good negotiation skills to negotiate and close contracts with global vendor(s); Good communication skills to interact with all internal (sales, delivery, finance, HR, Risk and Compliance etc.) as well as external stakeholders on a day-to-day basis for contracts discussions and closure(s); Flexibility of working in flexible timings. Good team player and keen to learn and take initiatives.
Roles and Responsibilities
- Draft, review, negotiate, cross border commercial sales side agreements (including not limited to MSAs / SOWs / WOs / POs / RFPs etc.) for assigned jurisdiction;
- Draft, review negotiate, agreements with vendors globally (including not limited to MSAs / SOWs / WOs / POs / RFPs non-disclosure, consulting, staffing, recruitment, independent contractor, license purchase terms, admin services agreements, lease deeds for buy side transactions for all geographies. etc.).
- Drafting, Reviewing and Negotiating agreements with Partners / Reseller(s) globally (including not limited to click wrap agreements, Reseller agreements, Teaming agreements, Service Provider Agreements, Software Licensing End User Agreements, MSSP Partnership agreements etc.).
- Manage the contract lifecycle, including creation of drafts, modifications, amendments and renewals of existing contracts / MSAs / SOWs etc. and creation of customer, vendor and partner contract compliance checklists etc.;
- Act as the point of contact for Customer / Vendor / Partner Contracts and advise on contractual rights and obligations as well as legal risks and business terms of various deals;
- Follow and adhere to Internal Microland Legal Process and other legal processes within Microland.
- Support during Vendor / Partner / Customer audits.
- Remain up to date on legal / regulatory updates affecting contracts and agreements.
- Clear understanding of different kinds of IT Services being offered by the Company and keen to learn and understand the technologies and the functioning / operations of the same to enable understand and evaluate the legal risks associated with it during contract lifecycle;
- Competent to handle Internal and external Vendor / Customer calls for Negotiation – is preferable.
