Detailed Description :

Statutory Compliance :

Ensure compliance with the Companies Act, 2013, FEMA Act 1999 and other applicable laws, rules, and regulations in India. Maintain statutory registers and records as required under the law. File necessary documents and returns with the Registrar of Companies (ROC) and other regulatory authorities within stipulated timelines. Keep abreast of changes in corporate laws and regulations and advise the management accordingly.

Corporate Governance :

Promote and maintain high standards of corporate governance practices within the company. Assist the Board of Directors in fulfilling their duties and responsibilities. Ensure adherence to the company's Articles of Association and internal policies. Facilitate and coordinate Board and Committee meetings, including preparing agendas, circulating meeting papers, recording minutes, and following up on action items. Advise the Board on matters related to corporate governance, legal compliance, and best practices for all group companies. Incorporating new companies and managing compliance of all group companies.

Shareholder Relations :

Manage shareholder communication, including organizing and conducting Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs). Handle shareholder queries and grievances effectively. Maintain records of share transfers and other shareholder-related activities.

Legal and Secretarial Matters :

Assist in the drafting, review, and execution of legal documents, agreements, and contracts. Liaise with legal counsel and other external advisors as required. Handle matters related to intellectual property, trademarks, and other legal issues.

Other Responsibilities :

Assist in the implementation of corporate actions such as mergers, acquisitions, and restructuring. Prepare and present reports on compliance matters to the Board and management. Develop and implement secretarial policies and procedures. Undertake any other duties as assigned by the management.

Qualifications :

Member of the Institute of Company Secretaries of India (ICSI) is mandatory. Bachelors / Masters in a related field. Minimum of 5-8 years of post qualification experience, with significant exposure to secretarial, regulatory and compliance.
