Legal Counsel

Our Client, an Infrastructure Finance Company is looking to hire a Legal Counsel for their Mumbai office. An ideal candidate should have a PQE of 4-5 years.

Job Responsibilities :

• Evaluate infrastructure / project loan proposals to identify legal risks and recommend mitigation strategies where feasible.
• Highlight and advise on key risks in proposals under evaluation, working closely with credit, risk, and business teams.
• Draft / review, negotiate, and finalize key transaction documents, including term sheets, loan agreements, debenture trust deeds, mortgage / pledge / hypothecation agreements, guarantees, undertakings, and other security documents.
• Assessment of security creation, perfection processes, and reviewing title search reports to identify and mitigate legal risks.
• Draft, negotiate, and finalize ancillary agreements including non-disclosure agreements, vendor contracts, and service agreements.
• Advise internal stakeholders on regulatory and compliance requirements relevant to NBFC operations and infrastructure project financing.
• Liaise with external counsel, advisors, and consultants to ensure timely delivery and closure of transactions, and effective resolution of legal matters involving the Company.
• Stay abreast of changes in applicable laws, regulations, and industry practices impacting infrastructure finance and NBFC sectors.
